This End User License Agreement ("EULA") is a legally binding contract between you ("Licensee") and Faculti Media Limited ("Licensor"). By using the Faculti Platform (the "Website"), you agree to comply with the terms of this EULA. If you do not agree with these terms, you may not use the Website and should discontinue use immediately.

1. Definitions

  • User/Licensee: The person authorized to access and use the Website.
  • Licensed Work(s): All content on the Website provided through a valid Membership or Subscription.
  • Secure Network: A protected network enabling secure access to the Website.

2. Grant of License & Usage Rights

2.1 The Licensee is granted a non-exclusive, non-transferable right to access the Licensed Work(s) during the Subscription Period for research, teaching, and private study via a Secure Network.

2.2 Licensee is permitted to:

  • Access the Website through a Secure Network.
  • Save content using Faculti's video platform.
  • Print or save reading notes for personal use.

2.3 Licensee may not:

  • Remove copyright notices or alter the content.
  • Share or distribute content over non-secure networks.
  • Engage in commercial use of the content.

3. Licensee Responsibilities

  • Licensee must maintain confidentiality of passwords and notify Faculti of any unauthorized access.
  • Licensee is responsible for obtaining necessary equipment and licenses to access the Website.

4. Licensor Responsibilities

  • Faculti will provide access to the Licensed Work(s) and will restore service in the event of interruption.
  • Faculti makes no warranties regarding the quality, accuracy, or availability of the content.

5. Intellectual Property Rights

Licensee acknowledges that all intellectual property rights related to the Licensed Work(s) belong to Faculti. The Licensee does not acquire any ownership rights.

6. Warranties and Limitations

Faculti warrants that it has the right to grant access to the Licensed Work(s) but makes no warranties about the quality, availability, or error-free operation of the Website. Faculti is not liable for any damages or losses resulting from use of the Licensed Work(s).

7. Indemnification and Force Majeure

Both parties agree to indemnify and hold each other harmless against any claims or liabilities arising from breach of this Agreement. Neither party is liable for failure to perform obligations due to circumstances beyond their control.

8. Termination

This Agreement may be terminated if either party materially breaches its terms. Faculti reserves the right to terminate the Licensee's access to the Licensed Work(s) with 30 days' notice.

9. General

  • This Agreement is governed by the laws of England and Wales.
  • No amendments to this EULA are valid unless in writing and signed by both parties.
